1. Definitions
- Repairflow, we: the provider of the service, named above this text.
- Service: Repairflow’s online software for repair shops, accessible through the app, the customer portal and the associated emails, as described on our website.
- Shop, you: the business that creates an account and uses the service.
- User: anyone who logs in on behalf of the shop: the owner and the employees the shop invites.
- Customer: a customer of the shop, whose data the shop puts into the service.
- Contract: the agreement between Repairflow and the shop on the use of the service, consisting of these terms, the data processing agreement and the price of the chosen subscription.
2. Application
These terms apply to every use of the service. By creating an account you agree to them. The service is intended for businesses; we do not enter into contracts with consumers. The shop’s own terms and conditions do not apply between the shop and Repairflow.
The data processing agreement on our website forms part of these terms. It applies as soon as the shop puts personal data of customers into the service.
3. Account and users
The owner of the shop creates the account and is responsible for everything that happens under the account. The shop itself decides which employees it invites and which rights they receive, and keeps those rights up to date. Users keep their password secret. If you suspect that someone has unauthorised access, you must change the passwords and let us know.
You make sure that the account details are correct, in particular the email address: that is where we send messages about the service and the contract.
4. Trial period, subscription and price
A new account starts with a free trial period of fourteen days. After that, a subscription is needed to continue using the service. A trial period ends by itself and creates no obligation.
The subscription runs per month or per year, as you choose when taking it out, and is paid in advance through our payment service. The prices are on our website; the price that applies at the moment you take out the subscription is the price of your subscription. Each price states whether it is inclusive or exclusive of VAT.
We may change the price. We announce a price change by email at least thirty days in advance, and it takes effect from the first period after that. If you do not want to pay the new price, you can cancel until that date.
If a payment fails, you are notified and the payment is retried. If the payment remains outstanding, we may suspend access to the service until payment has been made. The shop’s data remain stored during that time.
5. Use of the service
You use the service to run your own repair shop. You do not use the service to:
- break the law or infringe the rights of others, for example by recording customer data without having a basis for doing so;
- disrupt, overload or circumvent the service, for example with automated requests outside the app;
- resell or rent out the service or make it available to third parties;
- copy, imitate or examine the software in a way that goes further than the law permits.
You are responsible for the content of what you put into and send from the service: the receipts, invoices, emails, payment reminders and texts in the customer portal. We provide the means; whether an invoice, a reminder or an announcement of collection costs is correct and permitted in your case is for you to judge.
The AI features in the service make a suggestion for a text. That suggestion is an aid. You check it before you use it.
6. Connections with other services
The service can be connected to services of others, such as a payment service for payment links or a wholesaler for parts and prices. For such a connection you conclude an agreement with that provider yourself; we are not a party to it. Payments by your customers through a payment link go directly to your account with that payment service; we do not receive or manage that money.
We cannot vouch for the operation or the terms of services of others. If a provider changes or discontinues its connection, a feature in the service may change or cease as a result.
7. Availability and maintenance
We do our best to keep the service available at all times and monitor it with alarms. We do not guarantee uninterrupted availability: maintenance, outages at our suppliers and circumstances beyond our control may lead to downtime. We carry out planned maintenance outside shops’ opening hours as far as possible and announce it in advance if it will be noticeable.
We keep developing the service. You can read about new versions and changes on the What’s new page on our website. A feature may change or cease if that is necessary for security, the law or the further development of the service; we announce anything that is material for shops in advance.
8. The shop’s data
Everything you put into the service remains yours. We use it only to provide the service, as described in our privacy statement and the data processing agreement. You can ask us for a copy of your data in a common file format.
We make a backup of the database every night and keep it for thirty days. A backup is a safety net for failures on our side; we cannot guarantee the recovery of data that a user has deleted themselves.
You are yourself responsible for complying with your statutory retention obligations, such as keeping invoices for seven years. Make sure you take those documents out of the service in good time if you stop.
9. Intellectual property
The software, the design, the texts on our website and the name Repairflow belong to us or to our licensors. For the duration of the contract you receive a non-exclusive, non-transferable right to use the service for your own shop. We may freely use ideas and suggestions for improvement that you send us.
10. Liability
We are only liable for direct damage resulting from an attributable failure on our part. Our liability is limited in total per calendar year to the amount you paid for the service in the twelve months before the event, with a minimum of € 250. We are not liable for indirect damage, such as lost turnover, lost savings, loss of data caused by a user, or damage caused by services of others.
These limitations do not apply if the damage is the result of intent or deliberate recklessness on our part.
You indemnify us against claims by third parties, including your customers, arising from a use of the service contrary to these terms or from the content you put into it.
11. Term and cancellation
The contract runs for an indefinite period. You can cancel at any time through Subscription and billing in the app, with effect from the end of the current subscription period. We do not refund amounts already paid. If we cancel ourselves without you breaching these terms, we refund the prepaid part of the current period pro rata.
We can terminate the contract with a notice period of three months, and end it immediately or suspend access if you seriously breach these terms, if payment remains outstanding after a reminder, or if that is necessary to protect the service or other shops.
After the end of the contract you can still request a copy of your data for 30 days. After that we delete them within 30 days, so no later than 60 days after the end, except what we are legally required to keep. Backups that still contain the data are automatically deleted 30 days after that.
12. Changes to these terms
We may change these terms. We announce a change at least thirty days in advance by email and on our website. If you do not agree, you can cancel until the effective date. If you continue to use the service after that, the new terms apply.
13. Governing law
Dutch law applies to the contract. We will first put disputes to each other in order to resolve them together. If that does not succeed, the court in the district where Repairflow is established has jurisdiction.
